JANUARY 20, 2016

We look back at the 2015 SEC enforcement actions related to EB-5 investments and discuss the implications of the SEC and FINRA 'Examination Priorites of 2016', which specifically include EB-5.

The discussion then turns to private placement offerings (Reg D, Reg S), discussing the circumstances in which an issuer should engage a broker dealer.

The panel also touches upon the possibility of Regional Centers being deemed an unregistered Investment Advisor by the SEC and its implications.

The discussion turns to Primary Capital's services, and the cost of those services, designed to provide EB-5 securities compliance, as well as to address the proposed new requirements of Regional Centers in 'The Integrity Bill of 2015'.
